These Terms of Service (the “Terms”) govern your access to and use of the websites, documentation, application programming interfaces, software development kits, smart-contract interfaces, quote-and-fill services, and other products and services made available under the Halfmoon name (collectively, the “Services”).

The Services are provided by Halfmoonyolo Limited, doing business as Halfmoon (“Halfmoon,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.

1. Eligibility and Authority

You may use the Services only if:

1.you are at least 18 years old and have reached the age of legal majority in your jurisdiction;

2.you have the legal capacity to enter into these Terms;

3.if you use the Services on behalf of an organization, you are authorized to bind that organization to these Terms; and

4.your access to and use of the Services complies with all laws and regulations applicable to you.

You may not use the Services if you are subject to applicable economic or trade sanctions, are located or ordinarily resident in a jurisdiction where the Services or transactions involving tokenized assets are prohibited, or would otherwise violate applicable law by using the Services. We may restrict access from particular persons, entities, or jurisdictions where reasonably necessary for legal, compliance, security, or risk-management purposes.

You are responsible for determining whether your use of the Services is lawful. The availability of the Services in a jurisdiction does not constitute a representation that such use is permitted there.

2. Nature of the Services

Halfmoon provides execution infrastructure for tokenized equities and other supported digital assets. Depending on the integration, the Services may enable a wallet, application, or trading interface to request pricing, obtain quotes from independent market makers, submit a transaction, and settle a fill on a supported blockchain network.

Unless expressly stated otherwise in a separate written agreement:

1.Halfmoon does not issue, sponsor, endorse, or guarantee any tokenized asset;

2.Halfmoon is not the issuer of, or transfer agent for, any underlying equity or other referenced asset;

3.Halfmoon does not act as your broker, investment adviser, fiduciary, agent, bank, custodian, or tax adviser;

4.Halfmoon does not guarantee that any quote will remain available, that any order will be filled, or that settlement will succeed; and

5.the Services do not constitute an offer, solicitation, recommendation, or advice to buy, sell, or hold any asset.

Some Services may be accessed through third-party wallets, applications, exchanges, aggregators, or other interfaces. Those third parties operate under their own terms and policies, and Halfmoon does not control their services.

3. Tokenized Assets

Tokenized equities and similar assets are blockchain-based instruments whose legal and economic characteristics may differ from direct ownership of the referenced security. A token may be issued by a third party and may represent a contractual, beneficial, synthetic, custodial, or other form of exposure to an underlying asset.

Before transacting, you are responsible for reviewing the applicable issuer documentation and understanding:

1.the identity and legal status of the token issuer;

2.the rights, restrictions, and redemption terms attached to the token;

3.whether the token provides voting, dividend, distribution, corporate-action, or direct ownership rights;

4.transfer restrictions, market hours, liquidity conditions, and geographic limitations; and

5.any fees, taxes, compliance requirements, or counterparty risks that apply.

References in the Services to a company, equity, ticker, price, logo, or other underlying asset are for identification and informational purposes only. They do not imply that Halfmoon or the token issuer is affiliated with or endorsed by the referenced company.

4. Wallets and Non-Custodial Access

The Services may require you to connect or use a self-custodied blockchain wallet. You are solely responsible for:

1.safeguarding your private keys, seed phrases, credentials, and devices;

2.verifying wallet addresses, token contracts, networks, transaction details, permissions, and gas fees before signing;

3.all activity initiated through your wallet; and

4.maintaining sufficient assets and network fees to complete a transaction.

Halfmoon does not custody or control your wallet, private keys, or digital assets. We cannot recover a wallet, reverse a blockchain transaction, return assets sent to an incorrect address or network, or guarantee recovery following the compromise of your credentials.

5. Quotes, Orders, and Settlement

Quotes may be indicative or firm, may be supplied by independent market makers, and may expire or change. Displayed prices may differ from prices available through other venues or at the time a transaction is confirmed.

By submitting or signing a transaction, you authorize the execution and settlement instructions contained in that transaction. You acknowledge that:

1.a quote request or order does not guarantee execution;

2.fills may be rejected, delayed, or fail because of market conditions, insufficient liquidity, quote expiry, blockchain congestion, smart-contract behavior, third-party service failure, compliance controls, or other circumstances;

3.on-chain transactions are generally irreversible once confirmed;

4.blockchain timestamps and finality may differ from conventional market infrastructure;

5.market disruptions, trading halts, corporate actions, holidays, or the operating hours of an underlying market may affect pricing and liquidity; and

6.transaction information may become publicly visible on the relevant blockchain.

You must review all transaction details before signing. Halfmoon is not responsible for losses caused by instructions you submit or authorize, except to the extent liability cannot lawfully be excluded.

6. Integrators, APIs, and Software

Halfmoon may make APIs, SDKs, documentation, sample code, smart-contract interfaces, or other developer materials available to approved integrators, market makers, and other business users.

Your access may be subject to additional documentation, technical requirements, credentials, rate limits, service levels, commercial terms, or a separate written agreement. If a separate agreement conflicts with these Terms, that agreement controls solely with respect to its subject matter.

You must not:

1.bypass or interfere with access controls, rate limits, security controls, or technical restrictions;

2.introduce malware or attempt to gain unauthorized access to any system;

3.misrepresent quote, order, settlement, or asset information obtained through the Services;

4.use the Services to manipulate markets, engage in wash trading, spoofing, fraud, or other abusive conduct;

5.scrape or systematically extract data except as expressly permitted;

6.reverse engineer, decompile, or disassemble proprietary software except where applicable law expressly permits it; or

7.use the Services in violation of law, third-party rights, or applicable market rules.

Integrators are independently responsible for their user interfaces, disclosures, user relationships, regulatory obligations, and compliance controls. An integrator may not represent that Halfmoon operates, endorses, or assumes responsibility for the integrator’s product unless Halfmoon has agreed to that representation in writing.

7. Fees

Fees, spreads, gas costs, and other charges may apply and may vary by asset, network, market maker, transaction, or integration. Applicable charges should be presented through the relevant interface or agreed in separate commercial terms.

Third parties, including wallet providers, integrators, market makers, token issuers, blockchain networks, and service providers, may impose their own fees. Halfmoon does not control third-party charges. You are responsible for all taxes arising from your use of the Services or transactions, except taxes imposed on Halfmoon’s net income.

8. Risk Disclosure

Transactions involving digital assets and tokenized equities involve substantial risk and may result in the loss of some or all of the assets you commit. Risks include, without limitation:

1.price volatility, limited liquidity, wide spreads, and quote unavailability;

2.differences between a token’s price and the price of its referenced asset;

3.issuer, custodian, market-maker, counterparty, redemption, and insolvency risk;

4.smart-contract vulnerabilities, coding errors, exploits, and malicious tokens;

5.blockchain congestion, chain reorganizations, forks, validator failures, bridge failures, oracle failures, and transaction-ordering risks;

6.wallet compromise, phishing, private-key loss, and incorrect transaction instructions;

7.regulatory, legal, tax, sanctions, and geographic restrictions;

8.suspension, delisting, market closure, or changes affecting an underlying asset; and

9.outages or failures involving Halfmoon or third-party infrastructure.

You should transact only after conducting your own assessment and, where appropriate, consulting independent financial, legal, accounting, and tax advisers. Past performance and historical pricing do not guarantee future results.

9. Compliance and Information Requests

We or relevant service providers may implement access controls or request information where reasonably necessary to comply with law, enforce these Terms, investigate suspected misconduct, or protect the Services. Where required, this may include sanctions screening, wallet screening, geographic controls, or requests for identifying or business information.

You agree to provide accurate and complete information when requested and to update it if it changes. We may refuse, restrict, or suspend access if required information is not provided or if we reasonably believe that continued access creates legal, security, or integrity risk.

10. Third-Party Services and Content

The Services may rely on or link to third-party networks, wallets, token issuers, market makers, data providers, oracles, infrastructure providers, websites, or applications. Halfmoon does not control and is not responsible for third-party services, content, availability, security, accuracy, or conduct.

Your use of a third-party service is governed by that third party’s terms and privacy policy. You are responsible for evaluating third-party services before using them.

11. Intellectual Property

The Services, including Halfmoon’s software, documentation, website content, designs, trademarks, logos, and other materials, are owned by Halfmoon or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms and any additional written agreement, Halfmoon grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose. No other right or license is granted by implication or otherwise.

If you provide feedback, you grant Halfmoon a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation, provided we do not publicly identify you as its source without permission.

12. Suspension and Termination

We may restrict, suspend, or terminate your access to all or part of the Services if:

1.you breach these Terms or another agreement with us;

2.we reasonably suspect fraud, abuse, a security threat, or unlawful activity;

3.continued access may expose us or another person to legal, regulatory, operational, or reputational risk;

4.a third-party dependency is unavailable; or

5.we discontinue or materially change a Service.

Where reasonably practicable, we will provide notice, but we may act without prior notice when necessary. Termination does not affect rights or obligations that arose before termination. Provisions that by their nature should survive termination will remain in effect.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” HALFMOON AND ITS AFFILIATES, LICENSORS, CONTRIBUTORS, MARKET MAKERS, AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

HALFMOON DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS; THAT DATA OR QUOTES WILL BE ACCURATE, COMPLETE, OR CURRENT; OR THAT A TRANSACTION WILL EXECUTE OR SETTLE AS EXPECTED.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALFMOON AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRIBUTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, DIGITAL ASSETS, OR USE, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF HALFMOON AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRIBUTORS, LICENSORS, AND SERVICE PROVIDERS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU DIRECTLY TO HALFMOON FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) US$100.

IF YOU ACCESS OR USE THE SERVICES UNDER A SEPARATE WRITTEN AGREEMENT WITH HALFMOON, THE LIABILITY LIMITATIONS SET OUT IN THAT AGREEMENT WILL APPLY TO THE EXTENT OF ANY CONFLICT WITH THIS SECTION.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD OR FRAUDULENT MISREPRESENTATION, WILFUL MISCONDUCT OR GROSS NEGLIGENCE, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

15. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Halfmoon and its affiliates, directors, officers, employees, and agents from claims, damages, losses, liabilities, and reasonable costs arising from: (a) your use or misuse of the Services; (b) your breach of these Terms; (c) your violation of law or third-party rights; or (d) any product, interface, content, or service you operate using the Services.

This obligation does not apply to the extent a claim results from Halfmoon’s fraud, wilful misconduct, or other conduct for which indemnification cannot lawfully be required.

16. Governing Law and Dispute Resolution

These Terms and any non-contractual obligations arising out of or relating to them are governed by the laws of England and Wales.

Subject to applicable mandatory law, the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

Nothing in this section limits mandatory consumer rights or prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.

17. Changes to the Services or These Terms

We may modify the Services and these Terms from time to time. If we make a material change, we will provide notice through the Services, by updating the date above, or through another reasonable channel. Changes become effective on the date stated in the updated Terms.

If you do not agree to the updated Terms, you must stop using the Services. Your continued use after the effective date of the updated Terms constitutes acceptance to the extent permitted by law.

18. General

These Terms, together with any policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Halfmoon concerning their subject matter. If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified only to the minimum extent necessary to make it enforceable. A failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign them in connection with a reorganization, merger, acquisition, sale of assets, or by operation of law.

Headings are for convenience only. The words “including” and “include” mean “including without limitation.”
